Position Summary The Vice President, M&A Operations (“VP”) will conduct carve-out and integration due diligence and drive execution during sign-to-close and support during Day 1-100. Working closely with other specialist M&A Ops team members and the transaction deal team, the VP leads carve-out related diligence, including deal implications, future state operating model considerations, cost modeling, and transition strategies. The VP will also support due diligence on complex integrations as well as portfolio company divestitures. As part of this role, the VP will ensure the seller understands the Private Equity firm’s process, methods and long trail of successful carve-outs and value created through add-ons acquisitions as well as the deal-specific strategy and considerations related to carve-out and standup activities. Subsequent to diligence, the VP will lead the carve-out workstream during the sign-to-close period and support transition during Day 1-100 after close. Key responsibilities Carve-out & Integration Due Diligence Defining the carve-out diligence approach, including supplementing internal resources with third parties, as needed, to ensure that this upper middle market PE firm develops an accurate perspective on the size, shape and cost of carve-out as required.
Organizing the carve-out due diligence process, ensuring minimal duplication of effort with other SMEs; ensure the deal team understands the work required and undertaken. Capture and communicate value-based risks throughout the process.
Undertaking the carve-out and transition cost analysis, working collaboratively with specialist team members (HR, IT, etc.), and ensure the model reflects the correct level of carve-out costs (including additional recurring, one time and TSA overlap values).
Ensuring the carve-out undertaking, cost and risk are appropriately communicated the across M&A Operations team, to senior PE firm leadership and to the Investment Committee (“IC”), both ad hoc and in formal IC memos.
Working with Seller and Target Management to understand the scale and complexity of the carve-out and implications for transition and future state operating models.
Ensuring purchase agreements, TSAs and ancillary agreements appropriately and collectively capture all key carve-out protections.
Negotiating the TSA service coverage and terms, with support from legal advisors and other team members to ensure the agreement will comprehensively support business continuity while mitigating transition risk.
Preparing materials to transfer knowledge and transition to the Portfolio Operations team (e.g. Day 1 priorities, carve-out/ integration overview, cost model summary, TSA summary).
Helping portfolio management teams and deal terms prepare for portfolio carve-outs for sales on an ad hoc basis.
Supporting add-on integration diligence, including synergy assessments, integration complexity and timeline.
Carve-out Execution Leading sign-to-close carve-out execution, including:
Finalization of ancillary transaction documents including TSAs and Long-Term Purchase/Supply Agreements
Establishing separation PMO governance and engagement with third-party support resources
Defining the critical path to Day 1 and building detailed separation plans
Conducting Day 1 readiness reviews
Ensuring a stable platform for the Portfolio Operations team to take-on post-close during Day 1-100, including:
Hypercare management
Remediation of issues
TSA management and exit planning
Building Day 1-100 plans
One-off and standalone cost tracking
Program Development Continual improvements of internal carve-out and integration toolkits, including cost assessment workbooks, complexity frameworks, Investment Committee outputs, sign-to-close checklists and Day 1-100 plans.
Development and management of vendor relationships, including vendor onboarding, overseeing external support and assessment of performance.
Desired Qualifications 8+ years of practical operational experience in an M&A environment.
Extensive due diligence and execution experience with corporate and financial buy-side and sell-side divestitures and integrations, including knowledge of transition service agreements.
Strong working knowledge of core business processes including order-to-cash, procure-to-pay and record-to-report.
Experience evaluating and constructing organizational operating models.
