What is my role?
Hybrid’s Legal Department is responsible for all things legal and compliance at the company, from drafting and negotiating agreements with our valued licensors, brands and other vendors, overseeing litigation, clearing IP, ensuring compliance with relevant regulations and mitigating risk. We are looking for an amazing corporate counsel to help take our business to the next level! The ideal candidate has 4+ years of experience at a top tier law firm or large in-house organization drafting and negotiating a variety of commercial agreements and IP licenses; has stellar business acumen; and has keen organization and attention to detail, with a demonstrated ability to manage multiple stakeholders and deadlines in a fast-paced environment. The role will require the ability to apply a common- sense approach to projects and deals, as well as the ability to work independently and proactively, as well as collaboratively in a team environment. This position will report to the EVP, General Counsel.
What You'll Do
Draft, negotiate, and manage the Company’s commercial agreements (i.e. SaaS, vendor/retailer, consulting, NDAs, MSAs and SOWs) as well as IP license agreements to both protect and further the company’s interests.
Clearance of soft IP issues, or willingness to learn
Revise, manage and maintain often used templates such as NDAs, influencer agreements, sales agency agreements, etc.
Keep current on relevant laws and regulations relating to data privacy, marketing and advertising
Assist the GC in implementing long term strategic goals.
What You'll Need
4+ years of substantive commercial transactional experience, either at a law firm, in-house or a combination of both. Experience with IP licensing agreements in the entertainment/media, apparel, and/or brand and licensing industry, is a plus
Active member, in good standing, of the California Bar
JD required from an ABA-accredited institution, with strong academic background
Working knowledge of soft IP a plus
Working knowledge or interest in advising on promos, sweepstakes and promotions a plus
Working knowledge of litigation a plus
Working knowledge or interest in data privacy a plus
Excellent contract drafting skills.
Strong ability to work efficiently in a fast-paced environment, prioritize workload and be a flexible multi-tasker able to juggle shifting priorities and tasks, all the while maintaining calm under pressure, a strong EQ and a sense of humor
Detail oriented, with excellent communication skills to interact with internal and external stakeholders. Comfortable to interact with all levels within the organization and an ability to work cross-functionally and to tailor legal advice accordingly.
Positive can-do attitude and ability to establish strong relationships, credibility and trust with various business units to drive the business forward, as well as to find creative, out of the box resolutions while providing pragmatic advice and managing risk
Must be proactive and intellectually curious
Must have high degree of professionalism, strong sense of integrity and strict confidentiality
Proficiency in MS Office programs such as Word, Excel, PowerPoint etc.
