Lead and supervise the legal representation of clients in complex areas of domestic and international corporate law. Assume significant responsibility for deal management and leadership of multiple projects. Provide legal advice and counsel to national and global entities regarding cross-border transactions (valued $10 million to $1+ billion), including complex mergers and acquisitions (M&A), venture capital/private equity sponsored investments, other corporate finance transactions involving domestic and international parties, assets and portfolios. Devote time to business development efforts. Cultivate and manage client relationships. Develop substantive legal solutions to satisfy client's business objectives. Advise on a wide range of legal issues and business considerations relating to U.S. and international transactions, providing practical advice to clients at all stages of the corporate life cycle, from early stage companies seeking initial financing to established global companies undertaking complex cross-border transactions. Work with a wide range of investors on investments, leveraged acquisitions, and general corporate support. Conduct research and draft corporate documents, legal memoranda, and opinion letters for investment and private equity and venture capital financings and closings. Advise clients on California’s Corporations Code and Delaware’s General Corporation Law (DGCL) and corporate governance matters. Develop and suggest substantive legal solutions that satisfy client’s business objectives. Quickly spot the core issues involved in the matter and handle complex analysis with little supervision. Lead due diligence workstream, coordinate review of the diligence materials, review and revise summaries, and prepare diligence memoranda to advise clients on material legal issues. Prepare complex documents/end products that are client-ready. Draft and negotiate purchase, merger and ancillary agreements. Help devise complex transaction structures, and implement the structures and deal specifics in the agreements. Confidently articulate and defend complex positions. Prepare and deliver oral presentations that effectively communicate complex information to different audiences. Participate in internal and external business, practice and professional development activities. Assemble and direct team of junior and midlevel associates and paralegals. Allocate team resources, and assign and guide the team's work. 30% Deal/project management and document drafting;

The salary range in Century City for this role is $370,000 - $415,000 and represents the firm’s good faith minimum and maximum range for this role at the time of posting. The actual compensation offered to a candidate will be dependent on a variety of factors including, but not limited to, the candidate’s experience, qualifications, and location.Juris Doctorate (JD) from an ABA accredited law school and five years as an associate, attorney, counsel, or law clerk. Qualifying experience must include two years as a licensed attorney/associate with a multinational law firm representing national and global entities in cross-border transactions, M&A and finance transactions valued at $5+ million; leading due diligence work stream for M&A and finance transactions; and advising clients on Delaware's General Corporation Law (DGCL) and corporate governance matters. Requires good cross-cultural communications and oral and written English communication skills. Must be licensed to practice law in California. Regular office presence required, with flexibility to work remotely from home (within Southern California) on an as-needed basis, subject to business needs and manager approval. Travel: Based on client needs, incidental domestic and/or international travel of up to 10% may be required – e.g., to attend meetings, conduct diligence, and participate in negotiations.
