Our client is seeking an experienced attorney to join our legal team as Senior Counsel specializing in securities, corporate governance, and M&A.
Responsibilities:
Proxy Statement Drafting and Shareholder Meeting Coordination:
Lead the drafting of company’s Proxy Statement and related materials for the annual shareholder meeting.
Coordinate logistics for the annual shareholder meetings.
SEC Filings and Investor Relations:
Provide legal support to accounting, investor relations, and finance teams.
Advise on legal aspects of SEC filings, including 10-K/Q, Form 8-K, earnings releases, and investor presentations.
ESG Disclosures and Sustainability:
Support company’s Sustainability Council by advising on ESG-related disclosures.
Provide guidance on SASB reporting and sustainability practices.
Board and Committee Support
Assist with matters related to meetings of the Board of Directors and Board Committees.
Prepare meeting materials, resolutions, and conduct relevant legal research.
Treasury and Corporate Finance:
Provide legal support to the treasury team.
Advise on insurance coverage renewals, credit facility renewals, receivables factoring agreements, and public debt offerings.
Corporate Development and Ventures:
Collaborate with corporate development and venture teams.
Review NDAs, conduct due diligence, and draft transactional documentation as needed.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Active bar membership in good standing.
Minimum of 8 years of relevant legal experience, preferably in a corporate or securities law practice.
Strong communication skills and ability to work collaboratively with cross-functional teams.
