Deputy General Counsel

The Deputy General Counsel works closely with the Chief Legal Officer & General Counsel (“CLO”) to plan and direct the full range of work and the day-to-day activities of the General Counsel’s Office. Provides legal advice and representation to ACOG and the ACOG Foundation (collectively “ACOG”) on all aspects of ACOG’s activities, including advising committees, staff, districts and sections, and the Board of Directors, with emphasis on contracts, grants, litigation, privacy, employment law, and protection of intellectual property. Identifies and analyzes legal issues, drafts key documents, presents clear recommendations to senior leadership and staff, and assures legal compliance throughout the organization. This position includes people oversight and management.

Cover Letter Required

Serve as a legal resource for staff and volunteer leaders, providing analysis, advice, and legal counsel regarding legal aspects of ACOG’s operations and programs. Work closely with personnel to ensure compliance with legal, regulatory, and contractual requirements and reduce risks to the organizations.

Negotiate, draft, and/or review contracts with a wide range of complexity, including commercial leases, hotel and events contracts, construction contracts, intellectual property licenses, publishing contracts, information technology contracts, consultant agreements, and HIPAA business associate agreements.

Provide analysis, advice, and legal services to the organizations’ Boards of Directors, and districts and section leadership, as directed by the CLO.

Keep apprised of legal developments affecting the organization. Provide analysis, counsel and advice by interpreting laws, regulations, court decisions, and rules affecting the work of ACOG and the provision of obstetric and gynecologic healthcare.

Provide legal guidance to the Human Resource department when addressing personnel issues, in collaboration with CLO. Investigate complaints of alleged violations of organizational policies.

Provide legal advice regarding the structure and operation of ACOG’s programs and initiatives to ensure compliance and minimize risk, including providing guidance in the development of policies and procedures.

Review or supervise the review of drafts of ACOG publications and communications before public release.

Provide legal representation of ACOG in litigation before administrative agencies and state and federal courts, including in connection with third-party subpoenas, in conjunction with CLO. Oversee outside co-counsel in such proceedings.

Support ACOG’s amicus practice as needed in legal cases of importance to ACOG members and their patients, including cases involving restrictions on access to reproductive healthcare.

Provide leadership, direction, and management of legal department support staff, including fostering a welcoming and inclusive environment through supervising staff, providing feedback, coaching, support, mentoring, performance management, and training and development opportunities as appropriate.

Perform other duties as assigned.

Juris Doctor (JD) degree from an ABA-accredited law school.

Actively licensed and member in good standing of the District of Columbia Bar.

A minimum of 12 years of related experience required.

5 years of personnel management experience required.

Must have budget management experience.

Experience in health law or related area is preferred.

Ability to manage a wide range of legal issues.

Excellent verbal and written communications skills.

Excellent interpersonal skills and emotional intelligence.

Excellent organizational skills and attention to detail.

Strong leadership skills.

Proficient with Microsoft Office Suite or other related software.
