Manager, Counsel - Corporate & Securities

HubSpot is looking for a highly skilled and experienced Senior Corporate and Securities attorney to manage the company’s securities law compliance and support corporate governance on the Corporate, Compliance and Risk team in the Legal and Compliance department. This business savvy lawyer will have a strong securities law background and will provide guidance and support on a wide range of public company matters, including SEC filings, stock exchange compliance, corporate governance, debt and equity financings, and equity plan management, among others. This individual will also be highly adept at developing relationships to collaborate cross-functionally with finance, IR and compensation teams, as well as with other legal and compliance team members. This role is remote eligible and can be based anywhere in the U.S.
In This Role, You Will Be Responsible For
Preparing and/or reviewing U.S. Securities and Exchange Commission (SEC) filings (including Forms 10K, 10Q, 8K, proxy statement and Section 16 Act forms and other securities work, as needed) and managing associated disclosure control and documentation processes;
Managing the development, updating and implementation of policies for compliance with securities-related regulatory requirements, including the Sarbanes-Oxley Act, NYSE listing standards, Regulation Fair Disclosure (FD) and insider trading rules, and proxy advisory firm policies, among others;
Providing support on investor relations matters, including earnings releases, scripts and announcements, investor communications, investor outreach, and other investor relations activities and research on various corporate governance issues;
Providing support for the company’s board of director and committee matters, including collaborating with internal stakeholders on board and committee meeting agendas and materials;
Managing the planning and logistics for the annual stockholders meeting, including advising on ISS, Glass Lewis and investor voting policies;
Collaborating with the executive compensation team on executive compensation and equity plan matters;
Managing process for maintaining excellent corporate books and records; and
Partnering with other members of the Corporate, Compliance and Risk team on Legal & Compliance Department initiatives and special projects or tasks on an as-needed basis.
We Are Looking For People Who
Have a JD from an ABA-accredited law school, are admitted/licensed to practice in a relevant jurisdiction, and are in good standing.
Possess at least seven (7) years of public company securities, major law firm, corporate legal department or applicable government agency experience, in combination with law firm and in-house experience preferred
Have a comprehensive understanding of, and demonstrated experience with, the Securities Act of 1933, the Securities Exchange Act of 1934, and the related rules and regulations; NYSE listing standards; and Sarbanes Oxley requirements
Have demonstrated proficiency with Delaware corporate law and corporate finance matters
Have excellent communication skills and styles, both written and verbal, with the ability to effectively present information internally and externally
Have experience with equity compensation plans and executive compensation matters
Possess superior judgment and integrity, intellectual curiosity, innovative thinking, and ability to provide practical and solution-oriented advice
Are strategic, detail-oriented problem-solvers, with demonstrated ability to research, comprehend, analyze, and interpret data
Are collaborative, with a strong team-player attitude and the ability to build and maintain relationships at all levels, including senior leadership and cross-functional peers
