Our client is seeking a highly skilled Corporate Partner to join their esteemed legal team in Austin, Texas. The firm has extensive experience and knowledge in handling a wide array of corporate transactions. From counseling startups and forming investment funds to negotiating M&A transactions and conducting public and private offerings, they manage complex corporate matters of all sizes across various jurisdictions.
Responsibilities:
Lead and manage corporate transactions, including M&A, private equity, and public and private offerings.
Provide strategic legal counsel to clients on corporate governance, commercial contracts, and securities regulations.
Serve as outside general counsel, advising companies on day-to-day legal matters.
Structure and negotiate terms for private funds and assist startups in avoiding ownership disputes.
Advise clients on raising capital while minimizing risk and avoiding regulatory surprises.
Evaluate private funds and direct investment opportunities for institutional investors.
Counsel boards of directors, management, and equity holders on a wide range of corporate issues.
Stay abreast of developments in corporate law to provide innovative and effective legal solutions.
Qualifications:
Juris Doctor (JD) from an accredited law school.
Admitted to practice law in the state of Texas.
Experience in litigation, with a strong focus on corporate and commercial litigation.
Proven track record of managing complex litigation cases and achieving favorable outcomes.
Strong business acumen and the ability to understand clients' strategic objectives.
Experience serving as outside general counsel is highly desirable.
