We are seeking a talented transactional attorney to join the company as Legal Counsel. This is a hybrid position with some travel (flexible, 15% or less). The Counsel will work independently, or work with legal consultants under some circumstances, and, initially, report to the President. This is an ideal opportunity for an attorney to move in-house, to join a broad, often complex, and interesting practice with significant opportunities for personal and professional growth.
About the role
This role will work directly with executives at all levels of the business, participating in leadership meetings and supporting multiple functions, including Business Units (product development, product management and clinical affairs), Commercial (sales and marketing), and Operations (supply chain, manufacturing, real estate, and others).
Responsibilities
Serve as the legal department's primary contact, managing a full calendar of diverse meetings and requests
Provide practical, solution-oriented approaches to a broad range of legal issues and risks
Structure, write and negotiate a broad range of agreements, including NDAs, complex agreements for strategic transactions
Partner with specialist attorneys and other professionals on IP, regulatory and compliance matters
Manage pre-litigation disputes
Identify, design and implement continuous process improvement initiatives, such as initiatives to improve the department's client service levels or streamline the department's template agreements
Qualifications
JD from an accredited US law school
Active bar membership in good standing in at least one US jurisdiction
3+ years of experience in a medium law firm transactional practice, including experience with complex commercial and corporate transactions
Preferred Skills/Experience
Understanding of IP law and healthcare regulation preferred but not required. Focus regulatory areas include fraud and abuse (e.g., anti-kickback), FDA for medical devices, data use and privacy (e.g., HIPAA, GDPR) and anti-corruption (e.g., FCPA) preferred but not required.
