The Associate General Counsel provides organizational legal representation as in-house counsel, reporting directly to the General Counsel. This individual is responsible for reviewing all ACR contractual obligations and policies. The Associate General Counsel contributes significantly to organizational objectives through the oversight of a unique functional area. This individual’s impact and breadth of responsibility crosses departments and across the organization. Additionally, the Associate General Counsel develops policies, procedures and/or programs that affect multiple departments and/or a unique functional discipline. This role advises staff and ACR leadership on corporate, transactional and regulatory matters. The Associate General Counsel will staff ACR commissions, committees, and task forces as assigned.

Essential Job Functions:

Evaluate contractual and organizational policies for ACR and managed societies. Review corporate contract activities promptly. Ensures all necessary documentation is accurate, complete, and compliant with applicable law. Verifies that all contractual obligations comply with College policy and are supported by executive management.

Oversees CRI grant research and contractual obligations. Understands and applies state and federal statutes to ACR’s clinical research endeavors. Collaborates with and advises CRI Senior Attorney on approach, historical precedents, and ACR decisions.

Advises ACR and its affiliated organizations, the American College of Radiology Association (ACRA) and the American College of Radiology Foundation (ACRF).

Oversees litigation matters and claims.

Provide health care, legislative, and regulatory counseling.

Provides specialized legal support to Human Resources. Meets with Vice President, HR to review personnel and policy issues. Remain abreast of legal and regulatory developments related to Human Resources.

Collaborates with Quality and Safety counsel and staff and IT staff on legal and business matters.

Manages oversight of organizational Conflicts of Interest (COI) staff and member policies.

Advise the Bylaws, Ethics, Governance and Judiciary Committees. Counsels Ethics Committee on hearing processes and historical precedents. Advise on Parliamentary Procedure at ACR meetings. Advises the Board of Chancellors and ACR Council Steering Committee, Council and Reference Committees on governance matters. Address issues regarding membership categories and communications (e.g., Engage platform for members and ACR social media platforms). Staffs other commissions, committees, task forces, and workgroups as assigned.

Reviews COI disclosures for organizational impact and develops mitigation or management plans when necessary.

Provides intellectual property registration and counseling. Researches issues or concerns about ACR intellectual property matters. Advises and delegates appropriate steps to achieve objectives. Interact with outside counsel on ACR legal matters.

Qualifications and Minimum Experience:

JD required.

10+ years of related experience required. Background in medical legal or healthcare law required.

Nonprofit membership association experience beneficial.

Strong research and analytical skills required.

Project management and proficient PC skills required.

Refined written and communication skills required.

Exceptional interpersonal skills required.

Exhibit acute awareness of diverse groups with unrestricted ability to embrace a multicultural workforce, and the ability to commonly demonstrate sensitivity and appreciation of cultural differences is essential.

This position will work a Remote Primary schedule. Viable candidates must be able to attend certain ACR meetings in Northern Virginia, Washington DC, Philadelphia PA and other locations in the United States. When working remotely, workers must be self-motivated, possess excellent time management, and be highly organized. Reliable internet connection is a must!

ACR is committed to a total rewards compensation philosophy that includes base salary in addition to our full suite of comprehensive benefits (https://www.acr.org/-/media/ACR/NOINDEX/HR/ACR-Benefits-Overview.pdf). ACR’s goal is to pay competitively and equitably. It is typical for individuals to be hired in the entry to middle of the range for their role, and compensation decisions depend on each case’s circumstances. A reasonable estimate of the compensation range is $161,800 – $226,500.
