A law firm located in Menlo Park, CA, is seeking a Mid-level Technology Transactions Associate Attorney with 3-6 years of experience. The selected candidate will play a pivotal role in structuring, drafting, and negotiating a wide range of commercial, technology, and intellectual property agreements. In addition, the candidate will serve as the IP specialist for M&A, venture capital, and other corporate transactions. The ideal candidate should possess a substantial background in technology transactions, including solid experience as an IP/Technology Transactions specialist supporting M&A, venture capital, and private equity deals. The candidate will also be responsible for drafting and reviewing various commercial agreements, such as license agreements, development agreements, distributor and reseller agreements, customer and supplier contracts, OEM and manufacturing agreements, and managing associated transactions. This position requires candidates with strong academic credentials and excellent written and oral communication skills. A background or interest in technology, emerging companies, and issues related to software and open-source software is preferred, as well as previous experience at a large law firm.
Duties:
Structure, draft, and negotiate a diverse array of commercial, technology, and intellectual property agreements.
Act as the IP specialist for M&A, venture capital, and other corporate transactions.
Draft and review various commercial agreements, including license agreements, development agreements, distributor and reseller agreements, customer and supplier contracts, and OEM and manufacturing agreements.
Manage transactions associated with commercial and technology agreements.
Provide strategic legal counsel to clients on technology-related matters.
Collaborate with clients, legal teams, and external parties to facilitate successful transactions.
Requirements:
A minimum of 3-6 years of experience as an attorney, with a focus on technology transactions.
Proven expertise as an IP/Technology Transactions specialist with a strong track record supporting M&A, venture capital, and private equity deals.
Experience in drafting and reviewing various commercial agreements.
Strong academic credentials.
Exceptional written and oral communication skills.
Background or interest in technology, emerging companies, and software, as well as open-source software issues.
Preferred experience at a large law firm.
Education:
Juris Doctor (JD) degree from an accredited law school.
Active membership in the California State Bar Association.
Certifications:
California State Bar Association membership (required).
