Corporate Associate Attorney - Tax

A law firm is seeking a highly skilled and motivated Corporate Associate Attorney specializing in Tax to join their team in Philadelphia, PA. The successful candidate will work on cross-office tax and corporate transactional teams, providing expert legal guidance on U.S. federal income tax matters. This position requires excellent academic credentials and strong written and oral communication skills.
Key Responsibilities:
Provide comprehensive legal counsel on U.S. federal income tax issues related to corporate transactions.
Collaborate with cross-office teams to manage and execute complex tax planning and corporate transactions.
Conduct thorough research and analysis of tax laws, regulations, and policies to support client needs.
Prepare and review legal documents, including contracts, agreements, and tax-related filings.
Represent clients in negotiations, mediations, and other legal proceedings involving tax matters.
Advise clients on the tax implications of mergers, acquisitions, joint ventures, and other business arrangements.
Stay current on changes in tax laws and regulations to ensure compliance and strategic advantage for clients.
Mentor and provide guidance to junior associates and support staff as needed.
Maintain strong client relationships and provide exceptional client service.
Requirements:
Minimum of 2 years of law firm experience focusing on U.S. federal income tax matters.
Proven track record of managing complex tax-related legal issues and corporate transactions.
Strong analytical and problem-solving skills with meticulous attention to detail.
Excellent written and oral communication skills, with the ability to articulate complex legal concepts clearly and effectively.
Demonstrated ability to work collaboratively in a team-oriented environment.
Strong organizational skills with the ability to manage multiple projects and meet deadlines.
High ethical standards and professional integrity.
Education:
Juris Doctor (JD) degree from an accredited law school.
Active membership in good standing with the State Bar.
Certifications:
Additional certification in tax law (LL.M. in Taxation or equivalent) is preferred.
Skills:
Proficiency in legal research and legal database tools.
Strong negotiation and advocacy skills.
Ability to adapt to evolving legal and business environments.
Proficient in Microsoft Office Suite and legal practice management software.
