Your responsibilities:
The objectives of the Senior Legal Counsel are to provide guidance and support on a broad range of legal and regulatory matters and ensure that legal and contractual risks are identified and mitigated .
The ideal candidate will have strong commercial transactional experience in an international environment ideally in the oil and gas and/or in energy businesses , a familiarity with compliance matters (including anti-corruption, data privacy and antitrust), a willingness to learn other legal disciplines impacting our activities, excellent people & time management skills, and pragmatic business judgment.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Reporting to the Group Legal and Compliance Director at Gutor , your main tasks will be as follows:
Be responsible for drafting, negotiating, performing contract review and analysis of a broad range of commercial agreements, to identify key legal and contractual terms and issues and actively contribute to the analysis, assessment and mitigation of risks, working closely with internal and external stakeholders to achieve favorable outcomes.
Provide strategic contractual and legal guidance and support to the companys operations and business in the Americas’ region, including the United States, Canada, and Latin America, aligning legal initiatives with the company’s overall strategic and legal goals.
Support the establishment of future branch offices/companies notably in Latin America.
Be in support of our project management team for the contract management of complex projects, notably for preparing, drafting and negotiating of amendments, variation orders, claims and/or settlements.
Stay abreast of changes in laws and regulations affecting the companys operations in the Americas, providing proactive guidance on legal and regulatory developments that may impact the business.
Be in support of the teams for reviewing, managing and advising about our insurance coverage applicable for Americas to ensure our compliance with our Corporate and acceptable Customer insurance requirements.
Lead awareness-raising and training sessions for notably the commercial and project management teams, in particular for ensuring the understanding and due application of our internal rules, policies and processes.
Develop legal and contract risk management tools for use by the commercial team during the negotiation of contracts .
Work with lawyers and/or external advisers, when needed, in particular to ensure compliance with local requirements and/or on specialized legal topics.
Ensure compliance within the regulations in force (notably but not only with FCPA, and other anti-corruption laws), in particular when negotiating and/or managing our contracts with our customers, partners and business agents.
KNOWLEDGE AND SKILLS – REQUIRED
Juris Doctor (J.D.) degree or Bachelor of Laws (LLB) from an accredited law school and active bar license in good standing with any US or Canadian jurisdiction or higher education in Business Law.
You have a t least 7 years experience in a senior legal role, with a focus on international business and operations in the Americas , demonstrating strong leadership and people management skills
You have an i nterest to work in an international and challenging environment where you, besides the legal aspects, will need to also understand the technical, financial, and commercial aspects of a contract.
In-depth knowledge of contractual and corporate law, commercial transactions, and regulatory compliance in the Americas region, with a strong understanding of cross-border legal and business issues.
You have an excellent command of spoken and written commercial and legal English and Spanish.
