Crown Laboratories is seeking a talented Paralegal to join our legal team. This position will be an integral part of our Legal Department and will report directly to the Executive Vice President and General Counsel.
Primary Responsibilities:
Manage independently the legal entity portfolio, including relevant statutory filings
Assist with entity formation, including drafting and filing incorporation documents, checking and reserving corporate names, and preparing drafts of corporate organizational documents
Support M&A activities by coordinating due diligence reviews, preparing supporting documentation, supporting the collection of documents and helping with data room set up and administration
Assist in preparing board and committee materials
Assist with the preparation of documents
Assist with the management of outside counsel relationships, including maintaining contact lists, interacting with counsel and their offices, budgeting, accruals and invoice management
Prepare correspondence, reports and other legal documents
Manage project deadlines, files, and records
Coordinate execution and notarization of documents
Maintain files of correspondence and legal documents
Other duties, as assigned by the Executive Vice President and General Counsel
Job Related Qualifications / Skills:
Must have the ability to maintain the highest degree of ethics and the ability to preserve absolute confidentiality
Excellent organization and prioritization skills and strong attention to detail
Excellent writing, communication, and interpersonal skills.
Must be able to draft and understand complex legal documents
Ability to work independently
Ability to interact effectively with individuals at all organizational levels, including executives and senior management
Ability to learn and use cloud-based contract management system and other workflow tools
5+ years in corporate paralegal experience
Computer Skills Required: Microsoft Word, Powerpoint, Excel, Outlook, Teams
Education
Bachelor's degree required
5+ years of experience working in-house and/or at a law firm
