We are seeking an attorney with six or more years of post-JD experience advising public companies with respect to disclosure and corporate governance matters and other day-to-day issues that arise for public companies. While there could be an opportunity to opt in to more of the transactional elements of this practice, the attorney’s primary (or sole) focus will be managing the day-to-day counseling, reporting and governance matters of our public company client base. The position can be based in our Boston, New York or Washington, DC offices.
Job Duties include but are not limited to:
Review and draft SEC filings (10-K’s, 10-Q’s, 8-K’s, Proxy Statements)
Review and draft materials relating to annual meetings (script, rules of conduct, timelines) and assist clients preparing for their annual meetings
Research new developments, including trends in SEC staff comment letters and changes to institutional voting policies
Counsel public company clients on ongoing compliance issues such as Regulation FD and Section 16 reporting
Assist in annual reviews of bylaws, governance documents and corporate policies (e.g., committee charters, governance guidelines, insider trading policies)
Organize and complete benchmarking projects relating to practices at other public companies (for both client and firm projects)
Effectively supervise and assist in the training of junior associates
Qualifications:
Juris Doctor
Minimum six years of experience with public company corporate governance and disclosure.
Demonstrated knowledge and expertise in SEC regulations and filing requirements for public companies.
Successful candidates will have excellent writing skills, strong analytical skills, and a willingness to positively contribute to a collaborative work environment.
Attorney must be licensed to practice law and a member in good standing in in the state/jurisdiction in which the position is based.
