ESSENTIAL DUTIES AND RESPONSIBILITIES: include the following:
* Work to ensure that everyone inside the Yard, own as well as subcontractors, are safe and are performing their work in accordance with our CORE-values.* Ensure that all PSI safety procedures, rules and regulations are followed and met.* Provide legal support and advice on commercial contracting, labor and employment, litigation, corporate, securities, governance and compliance matters.* Advise business colleagues on legal issues and risks, review and prepare commercial contracts, oversee legal disputes and claims, and develop and implement company policies and procedures.* Provide General Counsel regarding compliance with applicable laws and regulations.* Review, draft and negotiate a broad range of commercial contracts, including customer sales, supply, non-disclosure, procurement, employment and consulting agreements.* Serve as a generalist advising business leaders directly (or with outside counsel) on commercial, litigation, labor and employment, and compliance matters.* Participate in the development of corporate policies, procedures and programs.* Ensure compliance with applicable laws and regulations, contracts and financing agreements.* Advise on all aspects of day-to-day legal issues.* Manage and supervise outside counsel effectively and efficiently.* Support and assist the General Counsel with commercial matters, contracts, corporate governance matters, stock exchange reporting requirements and strategic initiatives.* Provide additional support and assistance to the General Counsel on all other matters.
QUALIFICATIONS:
The successful candidate should have the following experience:
* A minimum of 5-7 years' experience as a practicing lawyer, preferably initially with a prominent national law firm.* Significant experience advising businesses on commercial matters.
Experience in the following areas is a plus: government contracting, construction law. The successful candidate should have the following skills:
* Ability to communicate effectively both orally and in writing* Strong interpersonal skills* Excellent judgment and ability to resolve complex issues effectively* Strong drafting, negotiating and business and analytical skills* Strong organizational skills; attention to detail* Ability to quickly identify and analyze problems to form an opinion and offer practical advice* Able to work effectively in both team and independent settings* Able to manage multiple tasks simultaneously and efficiently* Able to prioritize conflicting demands from multiple internal clients* Skilled at balancing business and legal needs* Highly motivated and confident self-starter who can prioritize and lead multiple tasks independently and efficiently under deadline pressure.* A trusted advisor with strong business acumen, work ethic and decision-making capability.
EDUCATION:
* D. degree from an accredited law school and an active bar membership in at least one US jurisdiction required.* Minimum of five-seven (5-7) years' of experience in a law firm and/or in-house environment.* Excellent undergraduate and law school academic credentials.
