Organization Description:
The General Counsel's Office is a valued, trusted and responsive partner within . The team promotes and protects the best interests of the DTCC family of companies by creating and facilitating solutions and providing guidance on legal and regulatory matters.
Reporting to the Corporate Secretary, the Deputy Corporate Secretary plays a key role in providing efficient and effective support to the Boards of Directors, DTCC subsidiaries, internal management committees and DTCC shareholders. The Deputy Corporate Secretary works closely with the Corporate Secretary to support governance activities of the Board of Directors, as well as to provide general governance advice and guidance.
Responsibilities:
Organize board and committee meetings, prepare meeting materials (e.g., agendas and resolutions), distribute meeting materials through use of the Diligent board portal, prepare written consent actions, and draft minutes
Oversee onboarding of new directors, annual director orientation and annual self-assessment process
Manage the annual share redistribution process, annual shareholders' meeting, and triennial share reallocation
Act as point of contact for shareholders and transfer agent
Provide governance assistance to internal management committees and councils
Qualifications:
Minimum of 10 years of related experience
Bachelor's degree preferred with Masters or equivalent experience
J.D. with minimum 5 years of experience practicing corporate law at a law firm or equivalent in-house with prior corporate secretary/corporate governance experience
Able to work independently and as a contributing team member with minimal supervision and lead multiple complex projects at a time
Exceptional drafting, verbal, and interpersonal skills with strong attention to detail
Proficient in MS Office products such as Outlook, Word, Excel, and PowerPoint (experience with Diligent or other board portals a plus)
Demonstrate integrity, discretion, accountability, and exercise sound judgment
