About the Role
The Company is seeking a Senior Corporate Counsel with a focus on securities, governance, and finance. The successful candidate will be tasked with providing expert legal advice and counsel on a wide range of corporate and securities matters, ensuring compliance with SEC and NYSE rules and regulations, and playing a key role in the preparation and review of various SEC filings. This includes annual reports, quarterly reports, current reports, proxy statements, and Section 16 filings. The role also involves supporting the board of directors, and various internal departments such as finance, accounting, tax, and investor relations. The Senior Corporate Counsel will be a key player in matters of corporate governance, public disclosure, and will also provide support to the Treasury department on capital markets, securities and debt offerings, and other related activities.Applicants must have a Juris Doctorate from an accredited law school, at least 8 years of legal experience, with a minimum of 5 years specifically focused on securities and corporate governance, and be admitted to practice law in the relevant jurisdiction. The role requires a detail-oriented individual with excellent legal judgment, organizational skills, and the ability to deliver business-oriented results. Strong communication skills, the ability to handle complex and sensitive issues, and effective team management are essential. The Senior Corporate Counsel will be expected to have a solid background in public company reporting and be adept at dealing with matters of a confidential and critical nature. Responsibilities also include subsidiary management and other duties as assigned.
