The successful candidate will provide day-to-day support in handling SEC filings, prospectuses, press releases, and other corporate and securities matters.
Job Duties:
Provide day-to-day support for routine SEC filings, prospectuses, press releases, board consents, and standard corporate and securities matters
Handle public company reporting compliance and securities offerings
Draft private placement memoranda, subscription documents, venture capital financing documents, and related blue sky filings
Conduct legal research and analysis on corporate and securities law matters
Assist with due diligence reviews and document preparation for corporate transactions
Communicate effectively with clients, partners, and other team members
Requirements:
Juris Doctor (JD) degree from an accredited law school
Admission to the State Bar of California
4-6 years of significant experience in SEC reporting, SEC filings, public and private securities offerings, and related matters
Excellent academic credentials
Strong critical analytical skills and attention to detail
Excellent written and verbal communication skills
Ability to work collaboratively in a team environment
Education and Certifications:
